(1.0)Introduction

(1.1)  It is on record that Prince Reginould Uwemedimo in the name of Comandclem Nigerian Limited wrote and deposited a fictitious petition with the Nigerian Police Force at Zone 6, Police Headquarters, Calabar against Rev. Barr Jesse Daniels Onuigbo and Prince Ajamu Sunday Adedayo on 20th of February, 2015.

(1.2) Sequel to this fictitious petition, on 23rd of February, 2015, Barrister Jesse Daniels Onuigbo was arrested in the BOD`s meeting of Comandclem Nigeria Limited for impersonating the position of secretary in CCNL while Prince Ajamu Sunday was threatened with the police arrest for selling CCNL`s buses and cars.

(1.3) Subsequent to the illegal arrest and detention of Barrister Jesse Daniels Onuigbo, and threat to arrest and detain Prince Ajamu Sunday over the aforesaid fictitious  petition written by Prince Reginould Uwemedimo under the instructions of Queen Akon Uwemedimo and Pastor Monday Obo Akpan (Ex-General Manager), their lawyer, Barrister Onyekachi. M. Ede Esq, from Providence Chambers, 13 Nnobi Road, Nnewi, Anambra State, instituted a legal suit against Prince Reginould Uwemedimo and Comandclem Nigeria Limited under whose legal name the aforesaid fictitious petition was written before Honourble Justice Ijeoma L. Ojukwu (FHC/UY/CS/61/15) of the Federal High Court, Uyo.


(2.0)Court Ordered BOD`s Meeting

(2.1) It is on record that on the 23rd day of September, 2015, Honourble Justice Ijeoma L. Ojukwu ordered the Board Of Directors in Comandclem Nigeria Limited to hold a meeting and determine the proper counsel to represent CCNL in view of the claims and confusions adduced by both Barrister Linus Mbey (ESQ) and Barrister Ifeanyi Idika (ESQ) to have been employed by Comandclem Nigeria Limited.

(2.2)        On the 23rd day of September, 2015, Honourble Justice Ijeoma L. Ojukwu ordered as follows

“That parties shall produce a letter after a proper meeting of the company as provided under the Company And Allied Matters Act addressed to the registrar of this court, stating the name of counsel who has been authorized by the company to represent the 5th Respondent in this case.”

(3.0) BOD Complied With The Court-Ordered Meeting

(3.1) In compliance with the ruling of Honourble Justice Ijeoma L. Ojukwu (FHC/UY/CS/61/15) of the Federal High Court, Uyo, the Executive Secretary of Comandclem Nigeria Limited, Barrister Jesse Daniels Onuigbo, issued a notice of meeting to every Director in the BOD Members of the Company.


The following resolutions were proposed and duly passed, to wit;

(1) That Queen Felicia Uwemedimon be appointed as interim chairman for the specific purpose of this meeting.
               
(2) That the legal team made up of Rev. jesse Daniels Onuigbo who is the counsel on record, Tunde Aiku (SAN) and Kunle Faokunla Esq. are confirmed to be the solicitors representing the company in the suit No. SC/69/2011: Rev CJA Uwemedimo & 1 or Vs. Mobil Producing Nigeria Unlimited pending at the Supreme Court.

(3)   That Ifeanyi Idika Esq. is authorized to represent the company in Suit No. FHC/UY/CS/61/2015, and Suit No. FHC/UY/CS/1111/2015 both pending at the Federal High Court, Uyo.
(4)   That Sunday Kahinde is authorized to take over the management and administration of the company office at Abeokuta, Ogun State from Sunday Awotunde.



(4.0)        Arguments Of Akon Uwemedimo And Reginould Uwemedi
       
(4.1) Instead of Queen Akon Uwemedimo and Prince Reginould Uwemedimo to participate actively in the court-ordered meeting so as to move CCNL forward in the interest of innocent patentees, Queen Akon Uwemedimo claimed to be the only surviving Director following the death of the king while Prince Reginould Uwemedimo claimed to be the only surviving Secretary in Comandclem Nigeria Limited.

(4.2)                                                                             Both Queen Akon Uwemedimo and Prince Reginould Uwemedimo claimed that Queen Felicia Uwemedimo has been removed as a Director in CCNL, and King CJA Uwemedimo never reconstituted any Board of Director in CCNL during his life-time.


(5.0) Federal High Court Accepted BOD`s Resolution To Make Barrister Idika CCNL`s Lawyer In The Interim,
As Justice Ijeoma Requested For CAC Documents

(5.1) The arguments and claims of only ONE SURVIVING DIRECTOR and ONLY ONE SURVIVING SECRETARY adduced by Queen Akon Uwemedimo and Prince Reginould Uwemedimo respectively were defeated by the court when of Honourble Justice Ijeoma L. Ojukwu ruled and I quote verbatim.

-“On the 23/9/15 when the same matter came up with both Counsel Mbeng and Idika brandishing 2 Deponent Letters of authorization by the same company 5th Respondent, each endorsed by different signatories, the Honourable Court made an order directing parties to produce a letter from the company after a proper meeting of the company as provided under the Company And Allied Matters Act addressed to the registrar of this court.

- The procedures for such meetings are provided under Section 211 of the Companies and Allied Matter Act.

-Today Linus Mbeng has shown the court a letter from the 5th Respondent while ifeanyi idika produced a letter from the 5th Respondent itself and has further informed the court that notices of the meeting where sent to all the directors and members including the 1st and 2nd Respondents.

-He also attached evidence of Attendance at the meeting and the Resolution of the company prior to his own letter of instruction.

-Prima facial, Ifeanyi Idika complied with the order of this court.

-But I must also go beyond the letter especially since the parties have alluded to the fact that the Supreme Court had made a decision regarding the proper counsel to represent the 5th Respondent.
- Premise on that, the court hereby orders Linus Mbeng of Learned Counsel who assents that the Supreme Court decided that he represents the 5th Respondent to produce the decision and the proceedings of the Supreme Court on this matter; (certified copies, please).

-Again I have also considered the fact that the evidence of the particulars of the Directors, changes of the Directors and Appointment of the Directors etc reside at the Corporate Affairs Commission, the parties are hereby ordered to obtain the certified copies of those particulars from the Corporate Affairs Commission officials in regard to the status of the 5th Respondents. And the same shall be filed before this honorable Court.

-Those documents shall be accompanied by a letter from the commission endorsing the particulars.

-The Registrar of this Court shall also cause a letter to be written to the Corporate Affairs Commission validating those documents.

-Meanwhile, Mr. Ifeanyi Idika remains Counsel for the 5th Respondent in the interim in compliance with the order of the court pending the final decision of this court on proper Counsel.

-The matter is adjourned to 13/1/2016 for compliance.

 (6.0)Impacts Of Court`s Ruling On The Investments Of Innocent Patentees

(6.1) Almighty God has manifested Himself in the projects of CCNL designed to benefit market women, civil servants, business men, artisans, and students, but currently being threatened by some individuals who claimed to be the only surviving director and only surviving secretary.


(6.2) The Re-Constituted Board of Director in CCNL will do everything within the law to ensure that the interest of Innocent Patentees are protected, and the legacies of the King are guided to ensure that the goals, missions and objectives of CCNL are not defeated by those greedy elements.


(6.3) In view of the above, the Board of Directors in Comandclem Nigeria Limited shall hold a special meeting on the 17th of December, 2015, to resolve the issue of lawyer that will represent Comandclem Nigeria Limited on the 23rd of February, 2016, since the arguments adduced by Professor Bankole Sodipo failed woefully to restore CCNL Appeal in the Supreme court of Nigeria on the 19th of October, 2015.

(7.0) Conclusion

(7.1)The projects of Comandclem Nigeria Limited are projects of Almighty God. The projects of God can never be destroyed by any forgery man or greedy woman.

(7.2) Almighty God started the projects of Comandclem Nigeria Limited, and He never requires any human knowledge and intervention to perfect it.

(7.3) Very soon, Almighty God shall put smiles on the faces of innocent patentees. We shall not labour in vain.
